Founded in 1986 by Mark Oldham and Auburn Howard Mosely, U.S. Hospitality’s first office was an out of order hotel room at the Regis Inn in Huntsville, Alabama. Initially, company operations were handled by Sharon Oldham. Howard concentrated on sales while Mark, who managed the Regis Inn, focused on hotel leads.

We were fortunate that we paid no rent for our makeshift office. However, we paid the price with a few small inconveniences like our only phone line was the room extension number at the hotel. Our first piece of business equipment was a $98 typewriter. All design and printing for our newly developed products were outsourced.

U.S. Hospitality moved to Nashville, Tennessee in 1987 after the Regis Inn was sold. A few miles up the road and a few boxes later, we found ourselves in an office space that we couldn’t help but “Toast” because we were sharing space with Nashville Wine Distributors, Inc. Still in it’s early stages, The company could not financially support Mark. He sold wine during the day while working nights and weekends for USHC. Howard and Sharon continued to handle daily operations.

This was a BIG year for U.S. Hospitality. We hired our first employee and bought ours first real computer. Best of all, we landed our first big account, Commercial Management Inc., based in Charlotte, North Carolina. CMI managed about 35 Days Inns at the time and began putting our products to the test. In 1989, Mark and Howard amicably split their partnership. Mark took over sole ownership of a growing U.S. Hospitality and began working full time.

Our sales and distribution had increased so significantly that the hotel industry and business world began to take notice. Our accomplishments garnered U.S. Hospitality recognition from INC. Magazine as one of America’s fastest growing privately-held companies.

A great deal of hard work in our early corporate history enabled us to achieve an incredible 1,254 growth rate over a short five-year time period. Today, that same kind of team commitment to a job well done continues to be the backbone of USHC. We are extremely proud our more than 40 exceptionally talented employees as well as an outstanding network of more than 55 Independent Sales Agents. Our products are now produced on-site at our 15,000 square foot facility and sales are currently in excess of 5 million. As our facilities expanded, so did our product line. As printing technology advanced, digital presses made 4 color printing more streamlined and more affordable. In the early '90s, U.S. Hospitality introduced a high end guest directory featuring four color, with only a minimum increase in cost to the consumer.

U.S. Hospitality also pioneered several new products and developments in the travel communications industry. In 1996, U. S. Hospitality developed onlinecityguide.com, one of the leading city guide sites on the internet today, with comprehensive information on U.S. cities. Our independent reps sell 'web page ads' in the corresponding city and state to merchants, businesses, and services on onlinecityguide.com. The web page ad (or WPA) is a way for the small business owner to expand his marketing base, and target the traveler who is planning his trip - in essence, searching for things to do and ways to spend his money before he arrives at his destination.

U.S. Hospitality is one of the few companies able to create a successful, sustained program of web advertising.

With the success of Onlinecityguide.com, U.S. Hospitality decided to expand its presence on the internet and in 2004 purchased two reservation booking sites, TravelUSA.com and Hotel.US. These two sites have been very successful, and they expand U.S. Hospitality's suite of travel communications products to include actual travel options. These sites also offer the small businessman an option for affordable advertising in today's fastest growing media outlet. U.S. Hospitality has also partnered with Uniguest, to offer business center service technology and self-service computer stations to the hospitality and realty industries.

U.S. Hospitality remains devoted to informing the traveling public about their transportation, their destinations, their lodging, and their entertainment, shopping and dining options. With over 15,000 annual advertising customers, we appreciate the significance of the advertiser as well, and the fact that we have prospered because we have facilitated the communication between these two groups.

Another group of people with whom U.S. Hospitality works is a nationwide force of Independent Contractors. U.S. Hospitality has always looked to create relationships with self-starting entrepreneurs. In 2005, we were proud to expand the opportunities we offer to include an Affiliate Publishing Program, in which the Affiliate Publisher runs his own business selling new and exciting products: Residential Service Guides (Community and Apartment Guides), Resort Rental Guides, Real Estate Relocation Guides and Wedding Planning Guides. In 2006, U.S. Hospitality acquired Davis and Associates to expand the product line even further to include restaurant menus and placemats, giving the affiliate publishers another industry to serve, and offering free products to small business owners. As always, U.S. Hospitality offers our affiliates and clients customer service support, production services and a stellar reputation.

U.S. Hospitality has come a long way since that tiny hotel room in Huntsville. We still cling fiercely to that same hunger for innovative ideas that started it all. U.S. Hospitality acquires Leisure Host effective June 1, 2006

In a major announcement regarding the hospitality publications business, U.S. Hospitality has acquired the assets of Leisure Host, formerly of Longview, TX, most recently, of White Oak, Texas, effective June 1, 2006.

Leisure Host, a 20 year publisher of hotel Guest Directory products, is now officially a part of the U. S. Hospitality family.

U. S. Hospitality bought the rights and title to the name "Leisure Host", so all hotel contracts remain as is, and all operations will continue as normal in Nashville, TN. All independent agents of Leisure Host will become affiliate publishers within the U. S. Hospitality framework.

U.S. Hospitality Acquires Davis And Associates Advertising

In an ongoing effort to expand its product line, specialty publisher U.S. Hospitality today announced its acquisition of the Shelby, North Carolina firm Davis and Associates Advertising, which provides the restaurant industry with menus, place mats and coffee cups. Started by Gene Davis in 2001, the company was serving over 300 accounts in five Southeastern states at the time of acquisition.

"It is really a seamless integration," said Mark Oldham, President and CEO of U.S. Hospitality. "Gene has been following the same model for the restaurant industry as we have been for the hospitality and realty industries: using advertising sponsorship to provide a high quality product at no or a minimal cost to the client." Oldham went on to explain that although Davis takes a different approach to securing clients and sponsors, it is complimentary to the one used by U.S. Hospitality. "Gene built his business using a staff of telemarketers to create new marketing relationships. We offer publishing, design and administrative support to a team of independent Affiliate Publishers who work face to face in their own communities to build permanent territories. We will continue to use Gene and the staff based in North Carolina, but this also offers us another opportunity our Affiliate Publishers can bring to the businesses in their communities."

As with all other U.S. Hospitality products, the menus and place mats will be published entirely in-house at the company's 15,000 square-foot facility in Nashville, TN and clients can expect the same professional level of customer service support and production services that have made U.S. Hospitality an industry leader for the past 20 years.

U.S. Hospitality acquires Majority Ownership of Uniguest™ of Tennessee, Inc. April 20, 2005

U.S. Hospitality Corp. announced today the acquisition of 51% of Uniguest of Tennessee, Inc., a leading provider of business center solutions for hotels across the country. The companies will work together to make Uniguest the dominant provider of business center applications and leverage the advertising synergies between both companies.

Uniguest President and CEO Shawn Thomas, in disclosing the development, indicated “the strength of U.S. Hospitality combined with the solid business center product of Uniguest will combine to make an incredible partnership that will greatly enhance the technology options that hotels are able to offer their guests.” Thomas built Uniguest from scratch, and has developed more than 160 different installations across the country of the primary Uniguest product, known since 2002 as the Concierge Station™.

Those 160 locations are located throughout the country, and currently represent over 15 hotel brands. Uniguest will continue to focus on hotels, with a goal of increasing the number of Concierge Station installations to more than 500 by the end of 2005. “Most hotels have had to adopt high-speed Internet access,” says Thomas. “While that amenity is growing, the conventional desktop PC has developed as a ‘must-have’ in the mainstream hotel lobby or business center—and not just the big business/resort hotels.” He goes on to share, “Not

U.S. Hospitality Acquires Majority Ownership of CityAmerica.com

In keeping with its two-part mission statement of providing the traveling public with quality information while encouraging entrepreneurship and small business growth, Nashville, TN based specialty publisher U.S. Hospitality today announced its acquisition of the majority ownership of web publishing firm CityAmerica.com.

"Actually, I found the site one day while surfing for competitors to OnlineCityGuide.com, our website that provides destination guides for over 600 cities in America" said U.S. Hospitality President and CEO Mark Oldham. "I was immediately intrigued by the way it combined the idea of offering a city guide product to local citizens to customize and build into their own businesses (by selling advertising on the sites.) It uses the exact same principle as U.S. Hospitality with the print products that we offer to our Affiliate Publishers: providing production, administrative and marketing expertise to self-starters who want to create home-based community businesses."

CityAmerica.com's founder, Brad Meador, who started the business out of his home office in 2000 also immediately saw the potential in a merging of the two companies. And when they met, the two hit it off immediately. "We both see success in the same way" commented Meador. "Take people who are highly motivated, provide them with a great product and then offer them as much support as possible. Besides the obvious technical support that is necessary for web-based products, I think it is imperative that marketing support is also offered. We hold training and marketing conference calls on Monday and Thursday, and supply a weekly newsletter with tips, tech notes and forum discussions."
